1. ACCEPTANCE OF TERMS
By engaging Spitz Solutions Inc. ("Spitz PR") for any public relations services, paying any invoice, or signing any project proposal or retainer agreement, you ("Client") agree to these Terms of Service in full. These terms apply to all clients regardless of location, including those in Canada, the United States, and internationally. If you do not agree to these terms, do not engage our services.
Your payment of any invoice constitutes confirmation that you have read, understood, and accepted these terms.
2. SERVICES
Spitz PR provides public relations services including media relations, press outreach, media pitching, press release drafting and distribution, and related communications services. The exact scope, deliverables, and any applicable guarantees are defined in the written project proposal or retainer agreement provided to you before work begins. That written agreement, together with these Terms of Service, forms the complete agreement between the parties.
3. ENGAGEMENT TYPES AND DELIVERABLES
One-Time Projects
One-time projects are governed by a fixed scope of work and deliverables set out in your project agreement. Certain one-time packages include guaranteed placement on specific named publications. Any guarantee is expressly limited to what is stated in writing in your project agreement. No other guarantee, verbal or implied, applies.
Work begins only after receipt of payment. Guaranteed placements are fulfilled when Spitz PR secures coverage meeting the criteria stated in your agreement. Fulfilment is confirmed by providing the Client with a link or copy of the published coverage.
Monthly Retainers
Monthly retainers run month-over-month with no fixed term unless your agreement states otherwise. Each retainer includes a defined number of media placements or "hits" based on criteria (publication type, audience size, coverage category, or other metrics) agreed upon in writing before the engagement begins.
A placement counts as fulfilled when published coverage meeting the agreed criteria is delivered to the Client. Spitz PR will document all placements by providing links or copies of published coverage throughout each billing period.
4. PAYMENT
Fees are stated in your project proposal or retainer agreement. Payment is due as specified in that agreement.
By submitting payment, the Client confirms they have reviewed and approved the scope of work and understand what services they are purchasing.
Late Payments
If payment is not received by the due date:
A late fee of 1.5% per month (18% per annum) applies to the outstanding balance, calculated from the due date.
All work on the account pauses until the outstanding balance, including any accrued late fees, is paid in full.
Spitz PR is not responsible for missed opportunities, lapsed coverage, or delayed placements resulting from a work pause due to non-payment. Paused time does not extend the retainer period or any placement guarantees.
5. REFUND POLICY
All fees paid to Spitz PR are non-refundable once work has commenced.
For one-time projects, work is considered commenced upon receipt of payment. If Spitz PR fails to deliver guaranteed placements as defined in the written project agreement, the Client's sole remedy is either a credit toward future services or a prorated refund for undelivered placements, at Spitz PR's discretion.
For monthly retainers, each billing period is non-refundable once the period has begun. If a billing period ends with fewer placements than the agreed number, Spitz PR will carry forward the shortfall to the following billing period at no additional charge.
No refunds are issued for dissatisfaction with editorial tone, publication framing, or outcomes beyond Spitz PR's control, including but not limited to journalist decisions, publication timing, or editorial changes made after submission.
6. CANCELLATION
One-Time Projects
Cancellation terms are specified in your project agreement. All fees for work completed or in progress at the time of cancellation remain payable in full.
Monthly Retainers
Either party may cancel a retainer by providing a minimum of 7 days' written notice via email to carson@spitzpr.com. Fees for the current billing period at the time of cancellation are payable in full and are non-refundable. Work completed during the notice period remains billable.
7. DISPUTE RESOLUTION
Before initiating any dispute with a payment processor, card issuer, or bank, the Client agrees to contact Spitz PR directly at carson@spitzpr.com and provide a written description of the concern. Spitz PR will respond within 5 business days with documentation of services rendered.
This internal process is a condition of these Terms of Service. Initiating a chargeback or payment dispute without first completing this process constitutes a breach of this agreement. In that event, Spitz PR reserves the right to pursue recovery of disputed amounts plus any chargeback fees, administrative costs, and legal fees incurred.
By engaging Spitz PR, the Client acknowledges that the nature of public relations services makes delivery documentation available at any time and agrees that such documentation, including placement records, email correspondence, and published coverage links, constitutes proof of service delivery.
8. INTELLECTUAL PROPERTY
All deliverables, including press releases, pitch copy, and media materials, become the Client's property upon receipt of full payment for the applicable project or billing period. Until full payment is received, Spitz PR retains all rights to the work product and may withhold delivery.
Spitz PR may reference the Client's name and the general nature of the engagement for portfolio or case study purposes unless the Client requests otherwise in writing.
9. CLIENT RESPONSIBILITIES
The Client agrees to provide accurate information, materials, and approvals in a timely manner. Delays caused by the Client's failure to respond, approve, or provide required materials do not entitle the Client to a refund or extension of guaranteed placements beyond what Spitz PR can reasonably complete given the delay.
10. LIMITATION OF LIABILITY
Spitz PR's total liability for any claim arising from our services is limited to the fees paid in the three months before the event giving rise to the claim. Spitz PR has no liability for indirect, incidental, or consequential damages, including lost revenue or missed business opportunities.
Editorial decisions by third-party media outlets, journalists, or publications are entirely outside Spitz PR's control. Spitz PR's obligation is to pitch and secure coverage meeting agreed criteria; the specific framing, positioning, or scheduling of that coverage by a publication is not grounds for a dispute or refund.
11. GOVERNING LAW
These Terms of Service are governed by the laws of the Province of Alberta, Canada. Any disputes not resolved through the process in Section 7 are subject to the exclusive jurisdiction of the courts of Alberta.
12. CHANGES TO THESE TERMS
Spitz PR may update these Terms of Service at any time. Active clients will be notified by email. Continued engagement after notice of changes constitutes acceptance of the revised terms.
